INVESTMENT ADVISOR

The TR Transamerica Vanguard Target Retirement 2005 Fund is a Separate Account portfolio maintained by Transamerica Financial Life Insurance Company (TFLIC). The TR Transamerica Vanguard Target Retirement 2005 Fund invests exclusively in the Transamerica Vanguard Target Retirement 2005 Fund, a Transamerica Life Insurance Company^ (TLIC) Separate Account, which had an inception date of October 1, 2004. The TLIC Separate Account invests exclusively in the Vanguard Target Retirement 2005 Fund, which had an inception date of October 27, 2003. The mutual fund is managed by The Vanguard Group and invests in other Vanguard mutual funds according to an asset allocation strategy designed for investors planning to retire in or within a few years of 2005.


INVESTMENT DESCRIPTION

The mutual fund’s asset allocation will become more conservative over time and within 5 to 10 years after 2005, should become similar to that of a retirement income fund. The current asset allocation for the mutual fund is 50% in Bond Market Securities; 35% in Equity Securities and 15% in Inflation-Protected Securities.

The mutual fund’s indirect bond holdings are a diversified mix of short-, intermediate-, and long-term investment-grade, taxable U.S. government, U.S. agency, and corporate bonds; inflation-indexed bonds issued by the U.S. government; and mortgage-backed securities. The indirect stock holding consists substantially of large-capitalization U.S. stocks and, to a lesser extent, of mid- and small-cap U.S. stocks.


RISK/RETURN

Investments of this type are subject to several stock and bond market risks, any of which could cause an investor to lose money. However, because bonds usually are less volatile than stocks, and because at least half of the underlying funds’ assets is in fixed income securities, the overall level of risk should be low to moderate.


CHARGES FEES AND EXPENSES

There are no Investment Management or Administrative Charges applicable to this Separate Account portfolio. However, the assets in this Separate Account portfolio are subject to the total operating expenses (expense ratio), which consist of the Investment Management and Administrative Charges of the underlying TLIC Separate Account and the expense ratio of the underlying mutual fund, which total 0.87% as of November 30, 2005. There may also be charges to your balance in the Separate Account portfolio for Contract Asset Charges, discontinuance charges or service fees, as applicable under your contract.

 
The TA BlackRock Lifepath Index Retirement Ret Acct invests in the TA BlackRock Lifepath Index Retirement Ret Opt, a TLIC Separate Account. This TLIC Separate Account invests in the BlackRock Lifepath Index Retirement Fund, a collective trust fund (TRS CIT).  The TRS CIT invests exclusively in the BlackRock Lifepath Index Retirement Fund (Class F Shares), a collective trust fund. Prior to 06-02-17, the TLIC Separate Account invested exclusively in the Vanguard Target Retirement Income Fund, a mutual fund. Effective 09-30-15, the Vanguard Target Retirement Income Ret Acct changed its name to the TA Vanguard Target Retirement Income Ret Acct. Effective 03-30-12, the Vanguard Target Retirement 2005 Ret Acct changed its name to the Vanguard Target Retirement Income Ret Acct. Effective 02-10-12, the underlying mutual fund of the TLIC Separate Account in which this Separate Account invests merged into the Vanguard Target Retirement Income Fund, which has a similar investment objective. The historical performance prior to the TLIC Separate Account portfolio inception date is calculated utilizing actual past performance for the underlying mutual fund and adjusted for Separate Account Maintenance (SAM) and Administrative (Admin) Charges.
