The TR Oppenheimer Main Street Fund is a Separate Account portfolio maintained by Transamerica Financial Life Insurance Company (TFLIC). The TR Oppenheimer Main Street Fund invests exclusively in the Oppenheimer Main Street Fund1 (Class A shares), a mutual fund, which had an inception date of February 3, 1988. The mutual fund is managed by Nikolaos Monoyios, since April 1998, and Dr. Marc Reinganum, since September 2003.

| INVESTMENT DESCRIPTION

Best suited for investors who seek total return in their investment over the long term, with the opportunity for some current income. Investors should be willing to assume the risks of short-term share price fluctuations that are typical for a moderately aggressive fund focusing mainly on stock investments. The mutual fund currently invests in common stocks of U.S. companies of different capitalization ranges, presently focusing on large-capitalization issuers. The mutual fund will also invest in debt securities, such as bonds and debentures, but does not currently emphasize these investments. In selecting securities, the mutual fund’s portfolio managers use an investment process that combines quantitative models, fundamental research about particular securities and individual judgment. The mutual fund portfolio managers use both “bottom-up” and “top-down” models in their quantitative analysis.

Historically, stocks have provided greater long-term returns and have entailed greater short-term market risks than other investment choices. Stocks of growth companies, particularly newer or smaller companies, may offer opportunities for greater capital appreciation but may be more volatile than other stocks.

However, the assets in this Separate Account portfolio are subject to the total operating expenses (expense ratio) of the underlying mutual fund, which were 0.92% as of November 30, 2005.
